Audit Committee

The current members of our audit committee are Mr. Berg, Mr. Valine and Mr. Vaughan, with Mr. Vaughan serving as the chair. Our board has determined that Mr. Berg, Mr. Valine and Mr. Vaughan each qualifies as an “audit committee financial expert” within the meaning of the rules of the Securities and Exchange Commission and that each of the members of our audit committee is "independent" and "financially literate" under the listing standards of the New York Stock Exchange.

The audit committee's primary responsibilities are to assist the board with oversight of: (1) the integrity of our financial statements including the financial reporting and disclosure processes and the integrity and effectiveness of our system of internal controls over financial reporting; and (2) the independence, qualifications and performance of our independent registered public accounting firm, including a review of the scope and results of their audit, as well as our internal audit function.  The audit committee, together with the compliance committee, assists the board with the oversight of compliance with legal and regulatory requirements.  The compliance committee has primary responsibility for oversight of health care regulatory compliance requirements.  The audit committee assists the board with oversight of all other legal and regulatory requirements including those that may have a material impact on the company's financial statements.  The audit committee also appoints and engages our independent registered public accounting firm and must pre-approve the independent registered public accounting firm's annual audit services (including related fees), audit related services, and all other services in accordance with our pre-approval policy.
